Background :
The whole edifice of good corporate governance is dependent on efficacy and effectiveness of independent directors. Independent Directors are considered as mentors of management and as supervisor who will ensure that management action creates value to shareholders, responsible for protecting minority shareholders’ interests as well. However, due to constant failures in the corporate governance, the role of independent directors is questioned in terms of their independence of taking decisions that are not influenced by the Board. Independent Director in listed companies form an integral part of company’s corporate governance framework however, their abilities to discharge their responsibilities have become a challenge due constant influence of the Board. With the IL&FS debacle, a recommendation has emerged which said that company board rooms shall remove independent directors who haven’t played the oversight role required
